1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of solforeyx.com (the "Website") and any services offered by Solforeyx ("we", "us", "our", the "Agency").

By accessing the Website, submitting a contact form, messaging us on WhatsApp, or hiring us, you ("Client", "you") agree to these Terms. If you do not agree, please do not use the Website or our services.

2. Services

Solforeyx provides digital agency services, including but not limited to:

• Shopify store development
• Website design and coding
• UI/UX design
• Meta, Google and TikTok advertising campaigns
• Transcription and translation
• File conversion (PDF, Word, Excel, image, OCR)
• Affiliate marketing strategy and implementation

Specific deliverables, timelines and pricing for each project are agreed in writing (WhatsApp, email, or a written proposal) before work begins.

3. Quotes & Pricing

• All prices are quoted in USD unless otherwise stated
• Quotes are valid for 14 days from the date issued
• Prices may change if the project scope changes
• Advertising spend (Meta, Google, TikTok) is separate from our service fee and paid directly to the platform

4. Payment Terms

• 50% deposit required before project kickoff
• 50% balance due upon project completion, before final delivery
• For projects over $1,000, milestone-based payments may be arranged
• Accepted payment methods: bank transfer, PayPal, Wise, or as agreed in writing
• Late payments may pause the project until resolved

5. Project Timeline & Client Responsibilities

Timelines are estimates and depend on timely client feedback. The Client agrees to:

• Provide all required assets, content, and access within agreed timeframes
• Respond to questions and review milestones within 3 business days
• Ensure any content provided does not infringe third-party rights
• Provide accurate brief and business information

Delays caused by the Client may extend the project timeline proportionally.

6. Revisions

Each service includes a specific number of revision rounds as described at purchase or in the project proposal (typically 2–3 rounds for design, 1 round for transcription and file conversion).

Requests beyond the included revisions, or major changes to the agreed scope, will be quoted as additional work.

7. Intellectual Property

Upon full payment:

• Client owns the final deliverables (designs, code, content created specifically for the project)
• Solforeyx retains the right to display the work in its portfolio, website and social media (unless the Client requests otherwise in writing for confidential projects)
• Third-party assets (Stock photos, fonts, plugins, icons) remain under their original licenses and are the Client's responsibility to license if not included in the project quote

Any pre-existing tools, frameworks, or templates created by Solforeyx remain our property and are licensed to the Client for the project's use.

8. Refunds

• Deposits are non-refundable once work has begun, to cover time and resource commitments
• If Solforeyx fails to deliver an agreed milestone, a partial or full refund of the affected portion may be issued at our discretion
• Refunds are not issued for change of mind after project kickoff
• Advertising and third-party costs are non-refundable once spent

9. Client Warranties & Indemnity

The Client warrants that:

• All content, images, text and assets provided are owned or properly licensed
• Their business and products comply with applicable laws and platform policies (e.g. Shopify, Meta, Google)
• They have authority to enter into this agreement

The Client agrees to indemnify Solforeyx against any claims arising from content or materials they provide.

10. Limitation of Liability

To the maximum extent permitted by law:

• Solforeyx's total liability is limited to the amount paid by the Client for the specific service in question
• We are not liable for indirect, incidental, or consequential damages (lost profits, lost data, business interruption)
• We are not responsible for third-party platform changes (Shopify API updates, Meta policy changes, Google algorithm updates)
• We are not liable for results from advertising campaigns beyond our control (platform performance, competitor actions, market conditions)

We do not guarantee specific sales, revenue, or ranking outcomes. Ad campaigns and SEO involve variables outside our control.

11. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the project. This includes pricing, strategies, client lists, and technical data. This obligation continues after the project ends.

We will sign a formal NDA on request, particularly for transcription and translation projects involving sensitive content.

12. Termination

• Either party may terminate the agreement with 7 days written notice
• On termination, the Client pays for work completed up to the termination date
• Completed deliverables remain the Client's property upon payment
• Non-refundable deposits remain non-refundable

13. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, internet outages, platform shutdowns, government actions, or public health emergencies.

14. Third-Party Platforms & Services

Our services often rely on third-party platforms including Shopify, Meta, Google, TikTok, Figma, Klaviyo, CloudConvert and others. You acknowledge that:

• These platforms have their own terms and privacy policies
• Their availability, features and pricing can change without notice
• We are not responsible for their actions, downtime, or policy decisions
• Any account suspensions on these platforms are outside our control

15. Website Use

When using this Website, you agree not to:

• Copy, reproduce or republish content without written permission
• Attempt to hack, scrape, or overload the site
• Use the site for illegal activities
• Impersonate Solforeyx or its staff

16. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes will be resolved through good-faith negotiation first, and if necessary, through the courts of Nigeria.

For international clients, we will always attempt amicable resolution before any formal proceedings.

17. Changes to Terms

We may update these Terms at any time. The "Last updated" date shows the latest version. Continued use of our services after changes constitutes acceptance. Material changes will be communicated to active clients in writing.
